Isulating Basement ceiling

Wanted to insulate basement ceiling , will be finished drywall .

will be using Roxul Fire & Sound is it best to have insul tight to bottom of upper floor sheating or closer to drywall on basement ceiling side ? or does it even matter ....?

If it's for sound control,
next to the drywall.
If it's for heat loss,
leave it out.
