New Company.


After three years with my business partner he has had enough. With the work slowing down and paychecks becoming less frequent, he has opted to leave the company. We incorporated the business, and are going to dissolve it. I am planning to go it alone and don't know wether or not to bother getting incorporated for my new company. What's the biggest advantage of being incorporated? Couldn't I just get an umbarella policy in case of getting sued. Would I be better off being a sole prop. I'm sure a lot of guys have been through this any advice would be greatly appreciated.

there are lots of different things to consider. there are costs in being inc., but it limits the liability you personaly have. sole prop is easier to get going, but if you are liable personaly, even with an umbrella policy, it could affect you personaly. It is really up to you and what you are comfortable with.

Would be nice to keep the name or a similar.

Keep your corporate name and keep chugging along. You have spent time and money to brand it. Don’t throw that value away. Keep it and the phone number the same.

Just have your old partner “who wants to walk away” removed as an officer / part owner from your existing corporation.
