Non-Compete Agreement
I'm going to start working with a company that we both feel that we should have some type of non-compete agreement. At this point it only states that we would not start doing the other company's services, for a specific period of time.
We both work in restaurants, but offer different services. The biggest advantage is cross marketing. He's in some places I'm not, and I'm in places he's not. I also gives me a good reason to approach old customers who I haven't worked for in a while, with out looking like a pushy salesman, or desperate for work. We have agreed on compensation when one finds the other work. I do general building repairs, and maintenance, they do ceiling cleaning, grout cleaning,and grout dying. My concern is at some point I mite want to get into the grout cleaning, I already do tile repair and replacement, and re-grouting. Questions.... Is this really worth it? What would be a reasonable time period for this agreement? Any other questions I should be considering, or things I would want in the agreement. (I realize I haven't posted the agreement) |

I'm in a rush so ill be brief...... biz is a competition.... you know who is buying/needs particular services.... it is your job as biz man to build a communication package for the markets, segmented by your services.... I have been approached w/ noncomplete clauses. my response has allows been, "kick rocks & pound sand"....

If the opportunities seem worth it you should consider it but be very carefull niether of the agreements are to far reaching. First, if they were, they would never hold up in court and second you dont want to hurt them and they shouldnt want to hurt you.
To me a NDNC agreement should be as simple as " we want to do something together and whether it does or doesnt work out I dont want you to steal from me and I wont steal from you." As far as length of time, an attorney will probably tell you that 3 years is a maximum limit that a court would ever recognize and best to keep it to 1 year. Thats not to long or short, but be on your toes whether you know this guy or not. Seek the advice of counsel
